Terms of Service

Effective Date: October 14, 2026  |  Last Updated: October 14, 2026  |  Version 1.0

These Terms of Service ("Terms") govern your use of YourTake, including the YourTake web application, the YourTake Chrome extension, and any related services we provide (collectively, the "Service"). YourTake is operated by YourTake LLC, a New Jersey limited liability company ("YourTake," "we," "us," or "our").

By creating an account, installing the extension, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you're agreeing to these Terms on behalf of a company, agency, or other organization, you represent that you have the authority to bind that entity, and "you" in these Terms refers to that entity.

1. Who We Are

2. Eligibility

To use the Service, you must:

The Service is intended for business use. If you're using it for personal content, that's fine; just understand the Service isn't designed as a consumer product.

3. Your Account

3.1 Account access

In the web application, you create an account with your email address and a password, or by signing in through a supported identity provider (such as Google or LinkedIn). Authentication is handled by our authentication provider on our behalf. In the Chrome extension, access is tied to the Google account you use in Chrome and to the access you purchase or are granted.

You are responsible for:

We may suspend or terminate accounts based on information that turns out to be false or misleading.

3.2 Teams

The Service supports individual accounts and team accounts. In a team account, an owner can invite teammates and control which brands each person can access. Owners are responsible for managing their members' access. If you invite teammates, you represent that you have authority to do so and that your teammates agree to these Terms when they accept the invitation.

3.3 One person, one account

Don't share a single user account among multiple people. Give teammates their own access instead.

4. Subscriptions, Billing, and Refunds

4.1 Plans

YourTake offers paid subscription plans. The plan, price, and features are shown to you when you subscribe. Your subscription gives you the right to use the Service per the plan you selected.

Payments are processed by Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method on a recurring basis for your selected plan.

4.2 Trials

We may offer free trials or trial access. If a trial converts to a paid subscription, we will tell you before it does, and you can cancel before the trial ends.

4.3 Billing cycle and changes

Subscriptions renew automatically each billing period (typically monthly or annually, depending on the plan you chose) until you cancel. Adding brands or other paid resources mid-period may result in a prorated charge or credit, shown to you in advance.

4.4 Discounts and coupons

We may offer promotional discounts. Discount terms (duration, eligibility) are shown when you redeem the discount and are governed by the terms displayed at that time. We may discontinue future discount programs at any time, but discounts already applied to an active subscription continue per their stated terms.

4.5 Failed payments

If a payment fails, we'll let you know and give you a reasonable period to update your payment method. If payment isn't resolved, we may limit or suspend access, and ultimately cancel the subscription.

4.6 Cancellation

You can cancel your subscription at any time through the Stripe customer portal or by emailing us. Cancellation takes effect at the end of the current billing period; you keep access until then.

4.7 Refunds

Subscription fees are non-refundable for partial periods. If you cancel, you keep access until the end of the period you've paid for; we do not prorate refunds for the unused portion of a period.

Exceptions:

4.8 Taxes

Subscription fees are exclusive of taxes unless stated otherwise. You are responsible for any sales tax, VAT, GST, or similar taxes that apply, except for taxes based on our net income. Where required, applicable tax is calculated and collected at checkout.

5. Your Content

5.1 You own your content

You retain all ownership rights in the content you provide to the Service ("Your Content"), including brand profiles, style guides, and brand voice information; source materials you paste or upload; post ideas, prompts, and edit instructions; voice recordings and media you upload; and any other inputs you enter.

5.2 License to operate the Service

You grant YourTake a worldwide, non-exclusive, royalty-free license to host, store, process, copy, transmit, display, and modify Your Content only as needed to provide the Service to you (for example, sending your inputs to AI providers so they can generate content, and displaying generated content back to you). This license ends when you delete Your Content or close your account, except where retention is required by law (for example, billing records) or by the retention periods in our Privacy Policy.

We do not use Your Content to train AI models. See the Privacy Policy.

5.3 Your responsibility for your content

You are solely responsible for Your Content. You represent and warrant that:

If you upload content about your clients (for example, while building a brand profile for a marketing client), you confirm you have your client's permission to do so.

5.4 Voices and likenesses

If you use voice cloning or video features, you may only upload recordings of your own voice, or of a person who has given you permission to create and use a clone of their voice. You are responsible for obtaining and keeping that permission.

5.5 Content removal

We may remove Your Content from the Service if we reasonably believe it violates these Terms or applicable law. Where practical, we'll tell you first and give you a chance to address the issue.

6. AI-Generated Output

6.1 What the Service produces

The Service uses AI providers to generate text (posts, drafts, scripts, and similar content), images, audio, and video based on your inputs and brand profile ("Output").

6.2 Your rights to Output

To the maximum extent permitted by law, we assign to you any rights we may have in the Output the Service generates from your inputs and brand profile. You are free to use, modify, publish, and commercialize the Output. We make no claim to it.

6.3 Limits and your responsibility

6.4 No professional advice

Output is for general marketing and content purposes only. It is not legal, financial, medical, tax, or other professional advice. Don't rely on it for those purposes.

7. Acceptable Use

You agree not to use the Service to:

  1. Violate any law, regulation, or third-party right (including intellectual property, privacy, publicity, contract, or labor rights).
  2. Generate or publish content that is illegal, fraudulent, defamatory, harassing, threatening, hateful, discriminatory, deceptive, obscene, child sexual abuse material, or that promotes violence or self-harm.
  3. Spam, harass, or impersonate any person or organization, including generating content designed to deceive readers about its source or to manipulate engagement metrics.
  4. Generate or distribute malware, phishing pages, scam pages, or other malicious code.
  5. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent the law permits despite this restriction.
  6. Scrape, crawl, or extract data from the Service in bulk, except your own data that you request from us.
  7. Resell, sublicense, or commercially redistribute access to the Service. (Agencies using the Service to deliver services to their clients is allowed. That's the intended use.)
  8. Bypass usage limits, rate limits, or access controls in the Service, including by sharing accounts or access codes, or by scripting.
  9. Generate content for any purpose prohibited by the policies of platforms you publish to, including LinkedIn's Professional Community Policies and, where applicable, LinkedIn's API Terms of Use.
  10. Submit knowingly false information to YourTake (including in account registration, brand profiles, or a LinkedIn connection).
  11. Use the Service to develop a competing product, including by extracting training data, copying our prompts, or systematically mining the Service for AI training material.
  12. Probe, scan, or test the vulnerability of the Service except by reporting issues to us at mike@yourtake.ai.

We may suspend or terminate accounts that violate this section. Severe violations may be reported to authorities or platform partners (such as LinkedIn) as required by law or platform agreements.

8. Third-Party Services and LinkedIn Integration

8.1 Third-party services generally

The Service integrates with third-party services (such as LinkedIn, Stripe, and AI providers). Your use of those services is also governed by their terms and privacy policies. We are not responsible for the practices of third parties.

8.2 LinkedIn integration

If you choose to connect a LinkedIn account or Company Page to the Service:

8.3 Payment processing

Payments are processed by Stripe and subject to Stripe's terms and privacy policy. We don't store your full payment card details.

9. Our Intellectual Property

The Service, including the YourTake name and logo, the software, the user interface, our prompts and the systems that power the Service, our documentation, and all other materials we provide, is owned by YourTake or our licensors and is protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service while your subscription is active and in good standing, solely for the purposes these Terms allow. You may not remove or alter our trademarks, copyright notices, or proprietary markings; use our name or logo without prior written permission, except to identify YourTake as your service provider; or use the Service's materials (other than Your Content and your Output) in any way that exceeds this license.

If you send us feedback or suggestions about the Service, we may use them without obligation to you.

10. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you also agree to the Privacy Policy.

11. Service Availability and Support

We aim to keep the Service available continuously, but we don't promise zero downtime. We may need to take the Service offline for maintenance, updates, or in response to incidents. Where practical, we'll give advance notice for planned downtime.

We provide support by email at mike@yourtake.ai. We make commercially reasonable efforts to respond promptly, but we don't promise a specific response time unless your plan includes a service-level agreement, which standard plans do not.

12. Beta Features and Disclaimers

Some features of the Service may be marked as "Beta," "Preview," or similar. Beta features are provided as-is for evaluation, may change or be removed at any time, may have bugs or unexpected behavior, and are not subject to the same support or availability commitments as generally available features. The Service as a whole may be in a beta period until we announce general availability; during that period, these beta terms apply to the entire Service. We appreciate feedback, which may be used freely per Section 9.

13. Termination

13.1 Termination by you

You can stop using the Service at any time. Cancel your subscription, and ask us to close your account when you're ready to have your data deleted (subject to the retention rules in the Privacy Policy).

13.2 Termination by us

We may suspend or terminate your account if:

For non-emergency terminations, we'll give you reasonable notice and a chance to address the issue. For severe violations (such as illegal use, fraud, or risk to the Service), termination may be immediate.

13.3 Effect of termination

When your account is terminated, your right to access the Service ends. On request within a reasonable window (typically 30 days), we'll provide an export of Your Content, unless termination was for cause and we determine immediate cessation is necessary. Your data will be handled per the retention rules in the Privacy Policy. Sections of these Terms that by their nature should survive termination (such as ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and general terms) will survive.

14. Disclaimer of Warranties

The Service and all Output are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.

To the maximum extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and warranties arising out of course of dealing or trade usage. We do not warrant that the Service will meet your requirements; be uninterrupted, timely, secure, or error-free; that Output will be accurate, original, reliable, or fit for any purpose; that defects will be corrected; or that the Service is free of viruses or other harmful components.

Some jurisdictions don't allow the exclusion of certain warranties; in those jurisdictions, these exclusions apply only to the extent permitted.

15. Limitation of Liability

To the maximum extent permitted by law:

  1. Excluded damages. Neither party will be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost goodwill, or business interruption, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.
  2. Liability cap. Each party's total cumulative liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months immediately before the event giving rise to the liability, or (b) USD 100.
  3. Exceptions. These limitations do not apply to: (a) your obligation to pay amounts owed; (b) either party's indemnification obligations under Section 16; (c) your violation of Section 7 (Acceptable Use) or Section 9 (Our Intellectual Property); (d) either party's gross negligence, willful misconduct, or fraud; or (e) liability that cannot be limited under applicable law.

These limitations apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.

16. Indemnification

16.1 By you

You will defend, indemnify, and hold harmless YourTake and its members, employees, officers, and agents from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service; Your Content; your Output (where the claim relates to your publication, modification, or use of the Output rather than the Output as we provided it); your violation of these Terms; or your violation of any law or third-party right.

We will notify you of any claim subject to this indemnity and let you control the defense (with our right to participate at our own expense). You won't settle a claim that imposes any obligation on us without our written consent.

16.2 By us

To the extent permitted by law and subject to Section 15, we will defend, indemnify, and hold you harmless from third-party claims that the Service (as provided by us, not modified or combined with anything else) directly infringes a US patent, copyright, or trademark of the third party. This does not apply to claims arising from (a) Your Content or Output; (b) modifications or combinations of the Service we didn't authorize; or (c) your continued use of an allegedly infringing version after we provide a non-infringing alternative.

17. Governing Law and Dispute Resolution

17.1 Governing law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs the agreement to arbitrate in Section 17.3. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17.2 Informal resolution first

Before starting arbitration or any other formal proceeding, you agree to contact us at mike@yourtake.ai with a description of the dispute and give us 30 days to try to resolve it informally. We'll do the same for any dispute we have with you, using the email address on your account.

17.3 Binding arbitration

Please read this section carefully. It affects your legal rights. If a dispute isn't resolved informally, you and YourTake agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including whether a dispute must be arbitrated) will be resolved by final and binding arbitration, not in court. By agreeing to these Terms, you and YourTake are each giving up the right to sue in court and to have a trial before a judge or jury.

17.4 Exceptions

Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) ask a court for an injunction or other equitable relief to protect its intellectual property or confidential information, or to stop unauthorized use of the Service, without first going through arbitration.

17.5 No class actions

You and YourTake may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not combine more than one party's claims or preside over any form of class or representative proceeding. If this section is found unenforceable for a particular claim, that claim (and only that claim) will be decided by the state or federal courts located in New Jersey, USA, and both parties consent to their jurisdiction.

17.6 Jury trial waiver

For any dispute that is decided in court rather than in arbitration, both parties waive any right to a jury trial to the extent permitted by law.

17.7 Time limitation

Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the cause of action arose, or it is permanently barred, except where applicable law requires a longer limitation period.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the "Last Updated" date and version at the top and add an entry to the change log at the bottom. For material changes (changes that materially reduce your rights or materially expand your obligations), we'll email you at least 30 days before the change takes effect, except where a shorter notice is legally required or operationally necessary (for example, to respond to a security or legal issue).

By continuing to use the Service after a change takes effect, you accept the updated Terms. If you don't agree, you may stop using the Service and close your account before the effective date.
